White-Label and Licensed Services
Karias Health may license its platform andtechnology to third-party partners (“Licensees”) who offer the Services to endusers under the Licensee’s own branding. When you access the Services through aLicensee, both this Privacy Policy and the Licensee’s privacy policy may applyto your Personal Information. In such cases:
· Karias Healthprocesses your Personal Information as a service provider or data processor onbehalf of the Licensee, who acts as the data controller or business withrespect to your information.
· The Licensee isresponsible for providing you with notice regarding their collection and use ofyour Personal Information and for obtaining any required consents.
· Karias Health’saccess to and use of your Personal Information is governed by our agreementwith the Licensee and this Privacy Policy.

Our Role inProcessing Your Information
· Depending on how youaccess the Services, Karias Health may act in different capacities with respectto your Personal Information:
· As a Data Controlleror Business: When you access theServices directly through Karias Health (such as through kariashealth.com or aKarias-branded application), we determine the purposes and means of processingyour Personal Information and are responsible for compliance with applicableprivacy laws.
· As a Data Processoror Service Provider: When you access theServices through a white-label Licensee or an employer-sponsored health plan,we may process your Personal Information on behalf of the Licensee or plansponsor (the “Controller”). In this capacity, we process your informationaccording to the Controller’s instructions and our agreement with them. TheController is responsible for ensuring it has a lawful basis to collect yourinformation and share it with us.
· This distinctionaffects your rights and how you should exercise them. If you are unsure whichentity is the Controller of your Personal Information, please contact us and wewill direct you to the appropriate party.
Information we collect falls into one of two categories: "voluntarily provided" information and "automatically collected" information.
"Voluntarily provided" information refers to any information you knowingly and actively provide us when using or participating in any of our Services.
"Automatically collected" information refers to any information automatically sent by your devices in the course of accessing Services.
Log Data

When you access the Services through a white-labelLicensee or partner, we may receive your Personal Information from thatLicensee rather than directly from you. This information may include:

· Health informationand insurance coverage details submitted through the Licensee’s platform
· Usage data andtechnical information generated through your use of Services offered by theLicensee
· Inthese cases, the Licensee is responsible for ensuring it has a lawful basis(such as your consent or a contract with you) to share your PersonalInformation with us. We process such information in accordance with ouragreement with the Licensee and this Privacy Policy.

Sensitive Information
"Sensitive information" or "special categories of data" is a subset of Personal Information that is given a higher level of protection under applicable state or federal laws. Examples of sensitive information include information relating to your racial or ethnic origin, trade union or other professional associations or memberships, sexual orientation, health information, or biometric information.

HIPAA and Protected Health Information
Karias Health provides Services toemployer-sponsored health plans and, through our white-label Licensees, toother entities that may be Covered Entities or Business Associates under theHealth Insurance Portability and Accountability Act (“HIPAA”). Where KariasHealth receives, maintains, or transmits Protected Health Information (“PHI”)on behalf of a Covered Entity or Business Associate, we do so pursuant to aBusiness Associate Agreement (“BAA”) that governs our use and disclosure ofsuch PHI.
When we act as a Business Associate:
· Our use anddisclosure of your PHI is governed by the applicable BAA and HIPAA, which mayimpose stricter requirements than this Privacy Policy.
· You may haveadditional rights under HIPAA with respect to your PHI, including the right torequest access, amendment, and an accounting of disclosures. To exercise theserights, please contact the Covered Entity (such as your health plan or youremployer’s benefits administrator) directly.
· In the event of aconflict between this Privacy Policy and our obligations under a BAA or HIPAA,the BAA and HIPAA will control with respect to PHI. If you access the Servicesthrough a white-label Licensee, the Licensee may have its own BAA with KariasHealth and/or with the applicable Covered Entity. Please contact the Licenseeor your health plan for information about how your PHI is handled.
Telehealth
Karias Health may provide a link to telehealth services, but does not provide medical services or medical advice.
Legitimate Reasons for Processing Your Personal Information
We only collect and use your Personal Information when we have a legitimate reason for doing so. In which instance, we only collect Personal Information that is reasonably necessary to provide our services to you.

You are responsible for selecting any password and its overall security strength, ensuring the security of your own information within the bounds of our services. For example, ensuring any passwords associated with accessing your Personal Information and accounts are secure and confidential.
How Long We Keep Your Personal Information
We keep your Personal Information only for as long as we need to for the purposes described in this policy. This time period may depend on what we are using your information for, in accordance with this privacy policy. For example, if you have provided us with Personal Information as part of creating an account with us, we may retain this information for the duration your account exists on our system. If your Personal Information is no longer required for this purpose, we will delete it or de-identify it by removing all details that identify you.

Exercising Your Rights When Accessing ServicesThrough a Licensee: If you access theServices through a white-label Licensee, requests to access, correct, delete,or otherwise exercise rights over your Personal Information should generally bedirected to the Licensee, as they are the controller of your information. If yousubmit a request to Karias Health and we determine that we are acting as aprocessor on behalf of a Licensee, we will either (a) forward your request tothe Licensee, or (b) direct you to contact the Licensee directly, unless we arelegally required to respond to your request ourselves.
Business Transfers
If we or our assets are acquired, or in the unlikely event that we go out of business or enter bankruptcy, we would include data, including your Personal Information, among the assets transferred to any parties who acquire us. You acknowledge that such transfers may occur, and that any parties who acquire us may, to the extent permitted by applicable law, continue to use your Personal Information according to this policy, which they will be required to assume as it is the basis for any ownership or use rights we have over such information.
Similarly, if a white-label Licensee through whomyou access the Services is acquired or transfers its business, your PersonalInformation may be transferred to the acquiring party, subject to theLicensee’s privacy policy and applicable law.
Do Not Track
Some browsers have a "Do Not Track" feature that lets you tell websites that you do not want to have your online activities tracked. At this time, we do not respond to browser "Do Not Track" signals.
